Non-Solicitation of Customers, Clients, and Employees

During the term of this Agreement and for two (2) years after its termination for any reason, both the Provider and Zenith Assistance LLC agree not to:

  • Directly or indirectly encourage any customers or clients of the other party to patronize another business or similar service.
  • Directly or indirectly disclose to any person or entity the names or addresses of any of the customers or clients of the other party.
  • Induce or attempt to induce any employee, agent, or former employee or agent of the other party to leave their employment, or hire such employee, agent, or former employee or agent in any capacity.
  • Make any disparaging statements regarding the other party or any of its members, principals, officers, directors, shareholders, employees, or agents to any person or entity.

Confidentiality

Each party agrees to keep all Confidential Information of the other party confidential and will not disclose it to any third party or use it for its own benefit, except as necessary to fulfill obligations under this Agreement.

Non-Competition

During the term of this Agreement and for one (1) year after its termination for any reason, the Client and Zenith Assistance LLC agree not to:

  • Directly or indirectly engage in any business activities that compete with the other party’s business.
  • Own, manage, operate, control, be employed by, participate in, or invest in any entity engaged in any business that competes with the other party’s business.

Term and Termination

This Agreement will begin on the date of the last signature below and remain in effect for one (1) year. After the initial term, the Agreement will automatically renew for successive one (1) year terms unless either party provides written notice of their intention not to renew at least thirty (30) days before the current term expires. Either party may terminate this Agreement for cause with written notice if the other party:

  • Breaches any material provision of this Agreement and does not remedy the breach within thirty (30) days after receiving written notice.
  • Experiences bankruptcy, insolvency, or makes an assignment for the benefit of creditors, or initiates any bankruptcy or insolvency proceedings.

Use of Service

Zenith Assistance LLC’s messaging services enable Providers to communicate effectively with patients regarding payments, appointment reminders, and practice updates. Providers authorize Zenith Assistance LLC to use their practice details to send these communications, ensuring compliance with all legal requirements and patient consent policies.

Provider Responsibilities

The Provider agrees to:

  • Provide accurate and up-to-date information about their practice and patients to Zenith Assistance LLC.
  • Ensure that the patients receiving these communications have either agreed to or are reasonably expected to receive messages related to their healthcare and billing.
  • Ensure that all communications sent through our platform comply with applicable legal requirements, including consent policies and privacy laws.

Data Protection and Confidentiality

Zenith Assistance LLC ensures that all patient and provider data shared through our platform remains confidential and secure, in compliance with HIPAA and other relevant privacy laws. Zenith Assistance LLC will not sell, share, or disclose any patient or provider data to third parties without explicit consent, unless required by law or necessary to provide the service. All patient and provider data is encrypted during both transmission and storage, and we use industry-standard security protocols to protect sensitive information.

Consent and Authorization

By using our messaging services, you confirm that you have obtained the necessary consent from your patients to send them communications related to payment collections, appointment reminders, and practice updates. You authorize Zenith Assistance LLC to send these messages on your behalf.

Opt-Out Policy

Patients receiving messages from your practice through Zenith Assistance LLC will have the option to opt out of receiving future messages. Upon receiving an opt-out request, Zenith Assistance LLC will immediately cease sending messages to the patient and notify you accordingly.

Limitation of Liability

Zenith Assistance LLC is not responsible for delays, failures, or damages resulting from the use of messaging services due to:

  • Incorrect information provided by the Provider.
  • Technical issues beyond the control of Zenith Assistance LLC.
  • Failure by the Provider to obtain proper patient consent.

Zenith Assistance LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use of these services.

Severability

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

Amendments

Zenith Assistance LLC reserves the right to modify these Terms and Conditions at any time. Any changes will be posted on our website, and continued use of the services after such modifications signifies acceptance of the revised terms.

Acceptance of Terms

By signing or submitting Zenith Assistance LLC’s online forms, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
